DESCRIPTION The accounting profession is governed by the rule of law and, thus, public sector accounting students need to be well versed with company law. This study unit introduces the different elements constituting the legal provisions related to company law, hence public sector officers will be in a better position to exercise their accounting and financial duties when interacting with public and private enterprises.

Study-Unit Aims:

The aim of the study-unit is to acquaint accountancy students with the law on commercial partnerships and, in particular, with company law, which is that part of Maltese Law most closely related to their course of studies. These laws include the formation and constitution of companies, the financing of companies and types of capital, and the day to day management, the administration and regulation of companies.

Learning Outcomes:

At the end of this study-unit, a student should be able to:
a) Distinguish between alternative forms and constitutions of business organisations;
b) Describe and explain how companies are managed, administered and regulated;
c) Identify different types of share capital and the different classes of shares and the rights of the holders thereof.

Indicative Syllabus & Study-unit Outline:

Students are made familiar with a number of areas of the law on commercial partnerships, including company law, and they are expected to learn in detail those parts which will in future concern them directly as accountancy graduates.
a) The formation and constitution of business organisations
• Partnerships
• Corporations and legal personality
• The formation and constitution of a company.

b) Share Capital and the financing of companies

c) Management, administration and regulation of companies
• Company directors
• Other company officers
• Company meetings and resolutions.
