| DESCRIPTION | This study-unit will introduce the student to the Treaty basis and kindred debates relating to Company Law harmonisation in the European Union. Some of the principal harmonisation measures will be studied against their contextual and comparative law background. This study-unit will also serve as an excellent introduction to the theory and practice of EC Company Law harmonisation for those who may wish to pursue further study at Masters Level. It is an opportunity to learn more about the European company law systems on major issues such as corporate governance, take-overs, modern management structures, and groups of companies. It covers the entire process of corporate formation and management from the perspective of the rather different corporate laws of the Anglo-Saxon world and of the Continental world. Learning Outcomes: - Good knowledge of the actual EU Regulations and Directives in Company Law. - Understanding of the background to this EU law, and its roots in different company law traditions, enabling proper interpretation and application of national company law. - Understanding of the principal issues still outstanding as relate to the freedom of establishment of companies, and also as to company law itself. - An understanding of the work in progress in this field at European and national level. - A deeper understanding of how company law works at the theoretical and also the practical level. Reading List: The students will be given a list of reading materials (and such material will be available at Paperclips for each topic). The basic texts used include: Vanessa Edwards, EC Company Law, Oxford; Andenas and Wooldridge, European Comparative Company Law, Cambridge University Press, 2009. |
