CONFIDENTIALITY AGREEMENTS

 

Disclosure of information between parties through such agreements DOES NOT constitute a ‘public disclosure’ and hence, does not jeopardise IP rights. Ideally, the signing of such agreements should also be kept confidential. The Rector’s signature on behalf of the University covers all University staff, who are bound to confidentiality by Article 14 of the Collective Agreement.

Once completed, each party should retain an original copy of the signed document. Within the University of Malta, the signed copy should reside with the Legal Office. If such an agreement is needed for the purposes of knowledge transfer activity, a scanned version must be sent by email to the KTO.

CA1 - Confidentiality between Two or More Parties

This Confidentiality Agreement is used to protect parties who wish to exchange confidential information. One of the parties to this agreement is the University of Malta. Other parties (and their applicable signatories) may be added or removed as necessary and highlighted fields should be edited on a case-by-case basis.

CA2 - One-Way Confidentiality Declaration

This Confidentiality Declaration (CA2) is used when a single party 'the discloser' wishes to disclose information and the other party 'the recipient'  who has nothing to disclose, but must treat the information as confidential. There should only be one signatory to this declaration. 

Information may be disclosed to or by the UM. The other party may be a company or an individual. 

Select the document below for the category you require. Unnecessary fields in the highlighted areas in the document should be deleted, and highlighted fields should be edited on a case-by-case basis:

Examiners Confidentiality Declaration

This Confidentiality Declaration is to be filled in when an external examiner or a supervisor not employed by the University is appointed to examine or supervise dissertations, projects, or theses which may contain  confidential or sensitive information.  In such cases, the examiner/supervisor must treat the information as confidential. There should only be one signatory to this declaration.

Note: Examiners and supervisors employed by the University need not sign the declaration since they are bound by confidentiality through their Collective Agreement or Employment Contract. Nonetheless they should be made aware about the confidential nature of the material.

IP2 - Intellectual Property Due Diligence Form

Complete this to allow the KTO to establish the legal ownership of the IP. Each University originator/contributor (employee, student, visitor etc of the University) who contributed to the invention must complete this form.

Use to inform KTO of how to distribute net profits obtained through the commercialisation of intellectual property. The form should be completed by all Originators/contributors.

Intellectual Property Agreement Template

Use this when applying to the MCST's FUSION Programme. You should discuss this agreement with your industrial partner/s to ensure that you all agree on the definition of intellectual property, who will commercialise, whether you can publish, and so on.
