Abstract: | In Malta, dissolution of the limited liability company is regulated by means of the Commercial Partnerships Ordinance, s.149. This Ordinance, which is based on the recommendations of the Commercial Partnerships Law Reform Commission, became law on the 9th February, 1962, and came into operation on the 19th April, 1965. The main sources adopted in the drafting of this legislation, are the English Companies Act, 1948 and the Italian Civil Code, 1942. "The former source has been largely followed in respect of the registration of commercial partnerships, limited liability companies and partnerships constituted and registered outside Malta" and the latter source, has among other things played a major role in the formulation of our law on dissolution of the partnerships 'en nom collectif' and 'en commandité', and of the limited liability company. |
