Abstract: | On a European level, employee share ownership is not a new phenomenon and has been discussed, encouraged and implemented mostly in the last fifteen years. Nonetheless, there has been no impetus for the encouragement aml implementation of employee share ownership on a local level. This thesis aims at introducing the reader to the concept of employee share ownership. More importantly, this thesis seeks to give a legal analysis of some of the issues concerning the subject in order to see whether employee share ownership can be encouraged and implemented with the present legal framework or whether there is the need for legislative change. To fulfil this aim, this work starts off with an overview of the incidences of employee share ownership in the various European countries and discusses the various initiatives taken by the European Union to encourage employee shareholding. The discussion moves on to an analysis of the various reasons behind government policy initiatives which seek to encourage employee share ownership and it also gives an analysis of the reasons which trigger companies to implement employee share schemes. An offshoot of such an analysis are the effects, including the disincentives, of employee shareholding. The discussion then narrows down to an analysis of various examples of employee share schemes which may be implemented and in so doing particular reference is made to the English scenario, this being the most evolved and varied one in so far as employee share ownership is concerned. The last two chapters focus on trust law and company law aspects of employee share ownership. Both chapters highly concentrate on the Maltese legislative framework and discuss the adequacy or otherwise of both Maltese company law and trust law provisions as they now stand. |
