Title: The application of co-operative principles in the corporate governance of Maltese co-operatives

Abstract: Purpose: The objectives of this study include an assessment of the application of each fundamental principle, an analysis of the extent to which good CG is exercised by those responsible, and an assessment of the extent to which the application of the co-operative principles contribute to the promotion of such good CG. Design: The objectives were achieved by the conduct of 24 semi-structured interviews, 18 of which were carried out with coopreps and 6 with co-operative experts. Findings: The study indicates that there is a general lack of adherence with the coop principles and that they are not applied equally by all types of co-operatives. Moreover, the governance of Maltese co-operatives is generally poorly practised. This has emerged from poor and inadequate management of the COM’s, the lack of CSR awareness and the imbalance between the economic and social aspects of co-operatives. The contribution of coop principles to good CG in Malta is therefore relatively poor or inexistent in practice. Conclusion: This study concludes that most co-operative principles are generally being poorly applied and the promotion of good CG is in fact lacking. This is mainly due to lack of education, poor concern for the community, individualistic Maltese culture, lack of communication among members and weak co-operative regulation. Value: It is hoped that this study will help to enhance the application of coop principles and that by its analysis it provides further insights into the need to promote good CG. Major recommendations include a general update of the CSA, the introduction of the social audit and an integrated Code of co-operatives and CG Principles, the provision of induction courses to new COM members and also the change of COM designation in order to clarify its role.
